Terms and Conditions for Official Climate Week NYC Event

 

These Terms and Conditions (“Terms”) apply to your registration for and running of an official Climate Week NYC event by you as part of and in affiliation with Climate Week NYC (“Your Event”).

If accepted by us, your application for Your Event to become an Official Climate Week NYC Event, together with these Terms, shall form an “Official Climate Week NYC Event Agreement”. It may also be referred to as this “Agreement”.

Who we are

 

Climate Group UK refers to THE CLIMATE CHANGE ORGANIZATION, a registered charity trading as “The Climate Group”, which is incorporated and registered in England and Wales with registered company number 04964424. Climate Group UK owns and controls the Commercial Rights.

Climate Group US refers to CLIMATE GROUP INC. (a 501 (c) (3) Delaware corporation, whose registered office is at 145 W 58th Street, 2A, New York, NY 10019 United States), which is Climate Group UK’s affiliate. Climate Group US co-ordinates Climate Week NYC.

References to Climate Group, we or us in these Terms refer to either or both Climate Group UK and Climate Group US, as applicable in the context.

IMPORTANT: If you would like to apply to organize an official event during Climate Week NYC 2026, which is being held in New York City between September 20-27, please carefully read the terms and conditions below:

As an official event of Climate Week NYC 2026 you will be entitled to:

  • be designated as an "Official Climate Week NYC 2026 Event Organizer".
  • use the Climate Week NYC 2026 logo (with dimensions specified in the Climate Week NYC 2026 Logo Guidelines) on the homepage of any event run by the Event Organizer in connection with Climate Week NYC 2026;
  • refer to Climate Week NYC 2026 in any of the Event Organizer’s newsletter, blog, Facebook, Twitter, other social media or equivalent;
  • utilize Climate Week NYC 2026 description and talking points supplied by The Climate Group, where appropriate.
  • provide to The Climate Group timely access to, and permission to reproduce and publish through its own media, images and video taken of any event organized in connection with Climate Week NYC 2026;
  • provide to The Climate Group up to 10 free of charge invitations (as appropriate) to any event which the Event Organizer organizes in connection with Climate Week NYC 2026;
  • allow The Climate Group to erect Climate Week NYC 2026 signage and distribute printed Climate Week NYC 2026 programs at any event organized by the Event Organizer in connection with Climate Week NYC 2026; and
  • Only use Climate Week NYC 2026 logo and other branding materials provided by The Climate Group in accordance with the Climate Week NYC 2026 Logo Guidelines.

You agree that you will:

YOU WILL ONLY BE ENTITLED TO BE DESIGNATED AS AN EVENT ORGANIZER FOR CLIMATE WEEK NYC 2026, BE LICENSED TO USE OUR LOGO IN RELATION TO THE EVENT, OR HOLD YOURSELF AS BEING CONNECTED WITH THE EVENT IN ANY WAY IF:

YOU CONFIRM YOUR AGREEMENT TO ABOVE TERMS AND OUR GENERAL TERMS AND CONDITIONS AND

THE CLIMATE GROUP CONFIRMS TO YOU IN WRITING THAT YOUR APPLICATION TO BECOME AN EVENT ORGANIZER FOR CLIMATE WEEK NYC 2026 HAS BEEN SUCCESSFUL.

WE AGREE TO THE GENERAL TERMS AND CONDITONS OF THE CLIMATE GROUP’S CLIMATE WEEK NYC 2026 OFFICIAL EVENT ORGANIZER AGREEMENT

There is a registration fee for becoming a Climate Week NYC 2026 Event Organizer. The registration fee is calculated in accordance with the selected Climate Week NYC 2026 Event package.

Please read the Terms and Conditions carefully in respect to your selected Climate Week NYC 2026 Event package.

Payment will become due after your application has been accepted by The Climate Group. Upon acceptance, you will receive an email confirming the cost of the registration fee for your selected Climate Week NYC 2026 Event Package and a link to the online payment method.

APPENDIX

GENERAL TERMS AND CONDITIONS

THE CLIMATE CHANGE ORGANISATION, trading as “The Climate Group” is incorporated and registered in England and Wales with company number 04964424 and is a registered charity in the United Kingdom, whose registered office is The Climate Group, Second Floor, Riverside Building Belvedere Road, County Hall, London, SE1 7PB (“The Climate Group”) owns and controls the Commercial Rights and wishes to license certain Commercial Rights as affiliation packages during the Term.

The Climate Group, in conjunction with its affiliate, CLIMATE GROUP INC. (a 501 (c) (3) Delaware corporation, whose registered office is at 145 W 58th Street, 2A, New York, NY 10019 United States), co-ordinate Climate Week NYC. For the purposes of these General Terms and Conditions, The Climate Change Organisation and Climate Group Inc. are together referred to as the “The Climate Group”

The Event Organizer wishes to acquire, and The Climate Group wishes to grant to the Event Organizer, an affiliation package for Climate Week NYC on the terms and conditions set out above and contained in these General Terms and Conditions, to allow the Event Organizer to organize and run events as part of and in affiliation with Climate Week NYC (which, following confirmation from The Climate Group of acceptance of your application to become an Official Climate Week NYC Event Organizer, together form the “Official Climate Week NYC Event Agreement” or this “Agreement”).

Interpretation

The following definitions and rules of interpretation apply in the Event Agreement.

Definitions:

Affiliation Rights: the rights granted to the Event Organizer comprising the license to use the Climate Week NYC Marks granted in clause 2.1.

Business Day: a day other than a Saturday, Sunday or public holiday in England and the United States when banks in London and New York are open for business.

The Climate Group's Marks: the trademarks to be used for all promotion, advertising and marketing of Climate Week NYC, as set out in Schedule 1, together with any associated artwork, design, slogan, text and other collateral marketing signs of The Climate Group that are to be used in connection with Climate Week NYC.

Climate Week NYC Marks Guidelines: The Climate Group's guidelines setting out the technical requirements for the reproduction of Climate Week NYC Marks, as these guidelines may be amended by The Climate Group from time to time by notice in writing to the Event Organizer.

Climate Week NYC Marks: The Climate Group's Marks and the Designation used singularly or collectively in association with Climate Week NYC or in the exercise of the other Affiliation Rights.

Climate Week NYC: the series of events collectively entitled Climate Week NYC 2026, which are to take place between 20-27 September 2026 in New York City.

Commercial Rights: all rights of a commercial nature connected with Climate Week NYC, including without limitation, image rights, broadcasting rights, new media rights, endorsement and official supplier rights, sponsorship rights, merchandising rights, licensing rights, advertising rights and hospitality rights.

Designation: the designation "Official Climate Week NYC 2026 Event Organizer".

Event Organizer's Climate Week NYC Materials: any advertising or promotional materials or products produced by or on behalf of the Event Organizer which associate the Event Organizer or the Event Organizer's Products with Climate Week NYC, or which incorporate or are distributed in association with Climate Week NYC Marks.

Event Organizer's Marks: the trademarks owned and used by the Event Organizer on its current website, together with any accompanying artwork, design, slogan, text and other collateral marketing signs of the Event Organizer.

Intellectual Property Rights: patents, rights to inventions, copyright and related rights, trade marks, business names and domain names, rights in get-up, goodwill and the right to sue for passing off, rights in designs, database rights, rights to use, and protect the confidentiality of, confidential information (including know-how), and all other intellectual property rights, in each case whether registered or unregistered and including all applications and rights to apply for and be granted, renewals or extensions of, and rights to claim priority from, such rights and all similar or equivalent rights or forms of protection which subsist or will subsist now or in the future in any part of the world.

Registration Fee: is the amount agreed to be paid by the Event Organizer to The Climate Group in accordance with the Climate Week NYC 2026 Event package which the Event Organizer has selected.

Term: has the meaning given in clause 3.1.

Grant of rights and reservations

The Climate Group grants and the Event Organizer accepts a non-exclusive, non-transferable, license to use the Climate Week NYC Marks on the Event Organizer's Climate Week NYC Materials, website, social media platforms and in advertising for any event which the Event Organizer holds in association with Climate Week NYC, during the Term and in accordance with the terms and conditions set out in this agreement.

All rights not expressly granted to the Event Organizer under this agreement are reserved to The Climate Group. The Event Organizer acknowledges and agrees that:

The Climate Group is the owner or controller of the Commercial Rights and of all rights in Climate Week NYC Marks; and

the Event Organizer shall not be entitled to exploit or enter into any commercial or other agreement to exploit any of the Commercial Rights other than the Affiliation Rights.

The Event Organizer grants, and The Climate Group accepts a worldwide, sub-licensable, non-exclusive, royalty-free license to use the Event Organizer's Marks:

during the Term for the delivery of the Affiliation Rights;

in perpetuity to promote and exploit Climate Week NYC in any media whether now known or yet to be invented (including in a computer game, on a website or mobile-device application) including by use on promotional material and merchandising.

Term

This agreement shall commence on the date it is signed by both parties and shall continue, unless terminated earlier in accordance with clause 10, until 31 December 2026 (the “Term”) when it shall terminate automatically without notice, without prejudice to any amounts outstanding at that date under this agreement.

Organizational Criteria

Climate Week NYC is the largest yearly climate event of its kind. It brings together business leaders, political change makers, local decision takers and civil society representatives of all ages and backgrounds, from all over the world, to showcase the best climate action and discuss how to do more.

Climate Group highly values the different perspectives and opinions that people bring to Climate Week NYC, including during the hundreds Climate Week NYC Events that are set up by third parties. While these events are not run by Climate Group and therefore, we can’t take responsibility for their contents, we strongly believe that a wide range of views and discussions will help accelerate the transition to net zero.

However, we do ask that all organizations that organize events under the flag of Climate Week NYC Events, meets the following criteria:

Your event is solution focused;

Your event supports the acceleration of the transition to net zero and the reduction of carbon emissions.

Climate Group has the right to deny organizations the right to participate in Climate Week Events if these criteria are not met.

Obligations of the Event Organizer

The Event Organizer undertakes to The Climate Group:

to exercise the Affiliation Rights strictly in accordance with the terms of this agreement. For the avoidance of doubt, the Event Organizer shall not be entitled to use or exploit any of the Commercial Rights (other than the Affiliation Rights) in any way;

to insert the Climate Week NYC logo (with dimensions specified in the Climate Week NYC Marks Guidelines) on the homepage of any event run by the Event Organizer in connection with Climate Week NYC;

to refer to Climate Week NYC in any of the Event Organizer’s newsletter, blog, Facebook, Twitter, other social media or equivalent;

to follow The Climate Group’s Twitter account and to retweet posts relating to Climate Week NYC to the Event Organizer’s social media followers where appropriate;

to utilize Climate Week NYC description and talking points supplied by The Climate Group, where appropriate;

to provide to The Climate Group timely access to, and permission to reproduce and publish through its own media, images and video taken of any event organized in connection with Climate Week NYC;

to provide to The Climate Group 10 invitations (as appropriate) to any event which the Event Organizer organizes in connection with Climate Week NYC;

to allow The Climate Group to erect Climate Week NYC signage and distribute printed Climate Week NYC programs at any event organized by the Event Organizer in connection with Climate Week NYC;

to use Climate Week NYC Marks and other branding materials provided by The Climate Group in accordance with Climate Week NYC Marks Guidelines;

to apply any legal notices as required by The Climate Group or as set out in Climate Week NYC Marks Guidelines on all Event Organizer's Climate Week NYC Materials;

to submit to The Climate Group for its prior written approval, not to be unreasonably withheld or delayed, pre-production samples of all the Event Organizer's Climate Week NYC Materials, before their distribution, production or sale;

to ensure that all Event Organizer's Climate Week NYC Materials shall comply in all respects with the samples approved in accordance with clause 4.1(k);

to ensure that the manufacture, publication, packaging, distribution, advertising and sale of all Event Organizer's Climate Week NYC Materials shall comply with all applicable laws and the highest standards of business ethics, particularly those relating to child or prison labour;

to immediately at the written request of The Climate Group and at its sole cost, withdraw from circulation any Event Organizer's Climate Week NYC Materials which do not comply with clause 4.1(i) to clause 4.1(m);

to comply with all applicable laws relevant to the exercise of its rights and the performance of its obligations under this agreement;

to provide to The Climate Group, at the Event Organizer's sole cost and expense, all suitable material including artwork of the Event Organizer's Marks in a format and within print deadlines reasonably specified by The Climate Group for it to be reproduced under the control of The Climate Group for the fulfilment of the Affiliation Rights;

not to apply for registration of any part of Climate Week NYC Marks or anything confusingly similar to Climate Week NYC Marks as a trademark for any goods or services;

not to use Climate Week NYC Marks or any part of them or anything confusingly similar to them in its trading or corporate name or otherwise, except as authorized under this agreement;

not to do or permit anything to be done which might adversely affect any of the Commercial Rights or the value of the Commercial Rights;

to provide all reasonable assistance to The Climate Group in relation to The Climate Group's exploitation of the Commercial Rights;

not to hold itself out to any third party as the owner or controller of the Commercial Rights or any rights in Climate Week NYC Marks;

to assist The Climate Group in protecting Climate Week NYC Marks and not to knowingly do, or cause or permit to be done, anything which may prejudice or harm or which has the potential to prejudice or harm Climate Week NYC Marks or The Climate Group's title to Climate Week NYC Marks or the image of Climate Week NYC or The Climate Group;

to notify The Climate Group of any suspected infringement of Climate Week NYC Marks, but not to take any steps or action whatsoever in relation to that suspected infringement unless requested to do so by The Climate Group;

to hold any additional goodwill generated by the Event Organizer for Climate Week NYC Marks as bare trustee for The Climate Group and to assign the same to The Climate Group at any time on request and in any event following termination of this agreement;

to execute any further documentation and provide any assistance, both during the Term and after termination, as may reasonably be requested by The Climate Group to protect Climate Week NYC Marks. This may include recording the terms of this agreement or any understanding or obligation under this agreement on any trademark register or other register, or in any other way.

The Event Organizer has no right to sub-license, assign or otherwise dispose of any of the Affiliation Rights, without The Climate Group's prior written consent.

The Event Organizer shall not engage in joint promotions with any third party in relation to Climate Week NYC without The Climate Group's prior written consent.

Obligations of The Climate Group

The Climate Group shall procure the organization and coordination of Climate Week NYC.

The Climate Group shall provide the Event Organizer with all benefits outlined in their selected Climate Week NYC 2026 Event Program Package, as outlined in the Annex 1/Annexes to this Agreement.

The Climate Group accepts that, regardless of the obligations of The Climate Group to promote Climate Week NYC within the terms of this agreement, the Event Organizer shall be entitled to advertise, publicize, promote and otherwise commercially exploit its own products, goodwill and reputation through the Event Organizer's association with Climate Week NYC on and subject to the terms of this agreement.

Price and Payment

The Event Organizer shall pay a $600 Registration Fee to The Climate Group per event listing.

Payment will become due upon acceptance of the Event Organizer’s application by The Climate Group. The Climate Group will issue an email confirming acceptance of the selected Event and the price of the Registration Fee. The email will also provide a link to the online payment method.

Change standard fee to $600 through to August 7

NGO/non-profit fee $0 with donation requested

Sponsors and approved partners no fee

Late registration fee $1200 from August 8

NGO/non-profit fee $300

Sponsors and approved partners no fee

From September 15th submissions close, exclusions to this considered on a case by case basis but cannot be guaranteed.

Indemnities

The Event Organizer shall indemnify The Climate Group against all liabilities, costs, expenses, damages and losses (including but not limited to any interest, penalties and legal costs (calculated on a full indemnity basis) and all other reasonable professional costs and expenses) suffered or incurred by The Climate Group arising out of or in connection with:

a failure on the part of the Event Organizer, or any of it is respective directors, officers, partners or employees, to reasonably fulfil its obligations under this agreement, or any breach by the Event Organizer of any representation, warranty, or covenant under this agreement;

any claim made against The Climate Group by a third party for actual or alleged infringement of a third party's Intellectual Property Rights or moral rights arising out of or in connection with The Climate Group's use of the Event Organizer's Marks in accordance with this agreement;

any claim made against The Climate Group by a third party arising out of or in connection with any event run by or organized by the Event Organizer;

any claim made against The Climate Group by a third party arising out of or in connection with the manufacture, production, distribution, handling, advertising, consumption or use of, or otherwise relating to, the Event Organizer's Climate Week NYC Materials, whether or not any claim arises during the Term. For the avoidance of doubt, any approval by The Climate Group of any use of Climate Week NYC Marks on the Event Organizer's Climate Week Materials, relates only to the use of Climate Week NYC Marks and does not amount to approval of any of the Event Organizer's Climate Week NYC Materials and shall not affect this right of indemnification.

Confidentiality

Should the parties provide access to information that may be of a confidential nature (including, without limitation, any financial information and the terms of this agreement), the use of the said information will remain strictly private and confidential, and no party shall:

use such confidential information except for the purpose of exercising or performing its rights and obligations under this agreement; or

disclose such confidential information in whole or in part to any third party, unless required to be disclosed by law, by any governmental or other regulatory authority or by a court or other authority of competent jurisdiction provided that, to the extent it is legally permitted to do so, it gives the other Party as much notice of such disclosure as possible.

For the purposes of this agreement, confidential information does not include information that (i) is in the possession of either party prior to its receipt of such information from the other party; (ii) is or becomes publicly available other than as a result of a breach of this agreement by the party who received the confidential information; or (iii) is independently acquired by either party without breaching any of its obligations under this agreement.

Intellectual Property Rights

The Climate Group and the Event Organizer acknowledge as follows:

all rights in the Event Organizer's Marks, including any goodwill associated with them, shall be the sole and exclusive property of the Event Organizer, and save as expressly provided in clause 2.3, The Climate Group shall not acquire any rights in the Event Organizer's Marks, nor in any developments or variations of them;

all rights in The Climate Group's Marks, including any goodwill associated with them, shall be the sole and exclusive property of The Climate Group and, save as expressly provided in clause 2.1, the Event Organizer shall not acquire any rights in The Climate Group's Marks, including any developments or variations of them;

All Intellectual Property Rights in and to any materials produced for Climate Week NYC by or on behalf of The Climate Group or jointly by The Climate Group and the Event Organizer shall, with the exception of the Event Organizer's Marks, be the sole and exclusive property of The Climate Group and if the Event Organizer acquires, by operation of law, title to any such Intellectual Property Rights it shall assign them to The Climate Group on request, whenever that request is made.

Termination

Without affecting any other right or remedy available to it, either party may terminate this agreement with immediate effect by giving written notice to the other party if:

the other party fails to pay any amount due under this agreement on the due date for payment and remains in default not less than 30 days after being notified in writing to make such payment;

the other party commits a material breach of any term of this agreement which breach is irremediable or (if such breach is remediable) fails to remedy that breach within a period of 30 days after being notified in writing to do so. However, this 30 Business Day period will be reduced to three Business Days if The Climate Group calls upon the Event Organizer to remedy the breach during, or within, the 14 Business Day period before Climate Week NYC begins;

the other party (i) becomes insolvent or is generally unable to pay, or fails to pay, its debts as they become due; (ii) files or has filed against it a petition for voluntary or involuntary bankruptcy or otherwise becomes subject, voluntarily or involuntarily, to any proceeding under any domestic or foreign bankruptcy or insolvency law; (iii) makes or seeks to make a general assignment for the benefit of its creditors; or (iv) applies for or has appointed a receiver, trustee, custodian or similar agent appointed by order of any court of competent jurisdiction to take charge of or sell any material portion of its property or business;

the other party commences negotiations with all or any class of its creditors with a view to rescheduling any of its debts, or makes a proposal for or enters into any compromise or arrangement with its creditors;

any event occurs, or proceeding is taken, with respect to the other party in any jurisdiction to which it is subject that has an effect equivalent or similar to any of the events mentioned in clause 10.1(c) and clause 10.1(d); or

the other party suspends or ceases, or threatens to suspend or cease, carrying on all or a substantial part of its business.

Consequences of termination

On termination or expiry of this agreement:

the Event Organizer Rights granted by The Climate Group to the Event Organizer under this agreement shall immediately terminate and revert to The Climate Group;

within 60 days after the date of termination, at The Climate Group’s sole discretion and as The Climate Group shall elect, the Event Organizer shall destroy or deliver to The Climate Group or any other person designated by The Climate Group, at the Event Organizer's expense, all Event Organizer's Climate Week NYC Materials in its possession or control;

each party shall promptly return to the other any property of the other within its possession or control; and

each party shall pay to the other any sums that are outstanding and to be accounted for under this agreement.

Anti-Bribery and Corruption

Each party agrees that it shall at all times comply with applicable laws and regulations concerning bribery, corruption and related matters and immediately notify the other party should it become aware of any actual or suspected breach of such laws which is directly or indirectly relevant to this agreement.

Third Party Rights

Except as expressly provided, this agreement is for the sole benefit of the parties hereto and nothing herein, express or implied, is intended to or shall confer upon any other person any legal or equitable right, benefit or remedy of any nature whatsoever, under or by reason of this agreement. The rights of the parties to terminate, rescind or agree to any variation, waiver or settlement under this agreement are not subject to the consent of any person that is not a party to this agreement.

Governing law and jurisdiction, service of process, waiver of jury trial

This agreement, and any dispute or claim arising out of or in connection with it or its subject matter or formation (including non-contractual disputes or claims), shall be governed by, and construed in accordance with, the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule that would require or permit the application of the laws of any jurisdiction other than those of the State of New York.

In case of conflict, the parties shall use all reasonable endeavors to reach an amicable resolution. In the event that an amicable resolution cannot be achieved, the United States District Court for the Southern District of New York or, if such court does not have subject matter jurisdiction, the courts of the State of New York sitting in the County of New York, and any appellate court from any thereof, shall have the exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this agreement or its subject matter or formation (including non-contractual disputes or claims), and each party irrevocably submits to the exclusive jurisdiction of such courts in any such suit, action or proceeding. Each party agrees that a final judgment in any such action, litigation, or proceeding is conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law.

Service of process, summons, notice or other document by mail to a Party's address set forth on the front page of this agreement shall be effective service of process for any suit, action or other proceeding against such Party.

Each party irrevocably and unconditionally waives any right it may have to a trial by jury in respect of any legal action arising out of or relating to this agreement or the transactions contemplated hereby.

ANNEXES

Annex 1 – Standard Registration

The Registration Fee for the Climate Week NYC 2026 Standard Event Program Package is $600.00.

The Standard Event Program Package includes:

1. Website listing

An event page including a title, description, organizer, venue address, image, date & time, host contact details, social links, event link;

A search facility which is arranged by date, theme and search;

Marketing

A minimum of one organic social media post on the Climate Week NYC channel, which will be shared by TCG and the language and platform shall be guided by the Event; and

A digital campaign from May to September which will feature a selection of events.

Resources

An official license for the use of the Climate Week NYC 2026 event logo;

Access to marketing and social media resources;

Partner discounts via the CWNYC & NYCgo delegate discount pass; and

Destination services support, such as hotel, event space, restaurant finder etc. via NYCgo link on the Climate Week website.

Annex 2 – Concession Registration the Concession Registration is available only for selected Non-Governmental Organizations (NGOs), public bodies, start-ups and academic institutions.

The Registration Fee for the Climate Week NYC 2026 Concession Event Program package will be calculated after discussion with The Climate Group. The Concession Program Package includes:

Search facility which will be arranged by date, theme and search.

Resources

Official license for use of the Climate Week NYC 2026 event logo and access to marketing and social media resources.
